Terms & Conditions
1. Scope and contracting party
These Terms & Conditions apply to services provided by Dipl.-Ing. Christian Leyerer, BSc, trading as Consultify, including services under the CHRIS.FPV brand. They apply to business customers and, where legally permissible, consumers. Mandatory consumer protection law remains unaffected.
2. Services
Services include web design, e-commerce, software development, AI and automation, IT infrastructure, technical consulting, maintenance and support, as well as drone, FPV, photo and video services under CHRIS.FPV. The specific scope is defined in the quotation, order confirmation or separate statement of work.
3. Offers, contract formation and changes
Quotations are non-binding unless expressly stated otherwise. A contract is formed by written acceptance, order confirmation or commencement of services at the customer's express request. Work outside the agreed scope is treated as additional work and may affect price and timing.
Scheduling through Calendly
You can schedule a call with Consultify or CHRIS.FPV through the linked Calendly booking page. Booking a call alone does not commission a website, IT, consulting or production project. The scope of services and any fees are governed by a separate agreement as described in this section. Information about processing booking details is available in our privacy policy.
4. Customer cooperation
The customer must provide required information, content, credentials, approvals and contacts on time. Delays or additional work caused by missing or late cooperation may extend deadlines and be charged separately. The customer warrants that supplied content may lawfully be used and does not infringe third-party rights.
5. Web, software and IT services
Unless expressly agreed, deliverables include only the functions and content described in the proposal. Accessibility, special compliance requirements, penetration testing, high availability, data migration, guaranteed SEO results or ongoing maintenance are included only when expressly agreed.
Third-party hosting, domains, plugins, themes, SaaS platforms, payment providers, APIs and other external services are subject to their own terms and availability.
6. Drone, photo and video services
CHRIS.FPV performs flights only where permitted under applicable aviation, local and operational rules. Routes, altitude, take-off or landing locations and equipment may be adapted for safety, weather, authorisation or airspace reasons. Where a planned flight cannot be carried out due to weather, authority restrictions, missing location permissions or safety risks, a replacement date will be sought where possible.
The customer is responsible for obtaining required permissions from property owners, event organisers, depicted persons or other rights holders unless this has expressly been assumed by Consultify.
7. Acceptance and defects
Completed work must be reviewed within a reasonable period. Business customers must report apparent defects without undue delay. Consumers retain all mandatory statutory warranty rights.
8. Fees, reservation fee and payment
Pricing and payment schedules are set out in the applicable quotation. Unless otherwise agreed, invoices are due within 14 days of receipt without deduction.
Reservation fee
For the binding reservation of project, production, filming or consulting capacity, Consultify or CHRIS.FPV may agree a reservation fee. This is not merely a traditional advance payment; it is consideration for blocking a defined period or capacity and for the associated scheduling commitment.
If the engagement proceeds as agreed, the reservation fee is credited against the total fee unless the quotation states otherwise. If the customer cancels a binding reservation for reasons attributable to the customer, the reservation fee generally remains payable and is non-refundable, subject to mandatory consumer protection law.
For consumers, statutory withdrawal rights for distance contracts remain unaffected. Where a reservation is made during a statutory withdrawal period and the consumer requests that Consultify or CHRIS.FPV begin performance or concrete preparation before that period expires, this will occur only after the legally required express consent. If Consultify or CHRIS.FPV finally cancels for a reason attributable to it and no replacement date is agreed, any reservation fee already paid will be refunded or credited.
Staged payments may additionally be agreed, in particular for larger projects or clearly defined project phases.
Statutory consequences apply to late payment. For business customers, necessary and appropriate collection costs may be charged. In the event of material payment default, further performance may be suspended after prior notice until payment is made.
9. Travel and third-party costs
Unless already included, agreed travel time, transport, accommodation, authority fees, licences and other project-related third-party costs may be charged separately and will be coordinated in advance where reasonably possible.
10. Rights in websites, software and design
Transferable usage rights remain with Consultify until full payment. After full payment, the customer receives the rights required for the agreed contractual purpose in the individually created final deliverable unless otherwise agreed. Pre-existing components, frameworks, libraries, templates, third-party software, open-source components, know-how and reusable technical building blocks remain subject to their existing rights and licences.
Source code, editable design files, development files and internal working materials are supplied only if expressly agreed.
11. Rights in photo, video and drone material
Unless otherwise agreed, after full payment the customer receives a non-exclusive right to use the delivered final material for the agreed purpose. Raw footage, project files and unselected material are not automatically included. Exclusive rights, sublicensing, resale, stock use or unrestricted editing rights require a separate agreement.
12. Portfolio references
Consultify may generally identify completed projects and publicly available results as references unless legitimate confidentiality interests or an individual agreement prevent this. Confidential information will not be published.
13. Maintenance and support
Maintenance, updates, monitoring, response times, backups or ongoing support are included only if expressly agreed. Separate service levels, contract terms and notice periods may apply to recurring services.
14. Liability
For business customers, liability for property and financial loss is limited to intent and gross negligence to the extent permitted by law; liability for personal injury remains unaffected. Liability for lost profits, indirect and consequential loss is excluded where legally permissible. Consumers retain all mandatory statutory rights.
15. Force majeure
No responsibility is assumed for delays caused by force majeure or uncontrollable external events such as natural events, power or network failures, authority measures, airspace restrictions, strikes or outages of third-party platforms. Deadlines are extended accordingly.
16. Confidentiality and data protection
Both parties treat identifiable business and trade secrets confidentially. Where Consultify processes personal data on behalf of a customer, an Art. 28 GDPR data processing agreement will be concluded where required.
17. Consumer withdrawal rights
Consumers entering distance contracts generally have a statutory 14-day withdrawal right unless a statutory exception applies. Required withdrawal information and the statutory model form will be provided before contract conclusion or with the contract confirmation.
If a consumer expressly requests performance to begin during the withdrawal period, early performance will begin only after the legally required express consent. The withdrawal right may expire after full performance where the statutory requirements are met.
If contracts are later concluded directly through an online user interface, any legally required online withdrawal function will be provided.
18. Cancellation and termination
One-off projects end after full delivery and payment. A cancellation by the customer does not, in principle, affect a validly agreed reservation fee under section 8.
Services already performed, third-party costs already incurred and expressly commissioned preparation work remain payable. Any additional cancellation charges are governed by the applicable quotation or order confirmation.
Recurring services are governed by the agreed term and notice period. Termination for cause and mandatory consumer rights remain unaffected.
19. Governing law and jurisdiction
Austrian law applies, excluding conflict-of-law rules. For consumers, this choice of law applies only insofar as it does not deprive them of mandatory protections of their country of habitual residence. For business customers, the courts at Consultify's business location are agreed where legally permissible; statutory consumer venues remain unaffected.
20. Final provisions
If a provision is or becomes invalid, the remaining provisions remain effective. Amendments to individual agreements should be made in text form for evidentiary purposes.
